I. NAME

THE NAME of this organization shall be THE LIBERTARIAN PARTY OF LOS ANGELES COUNTY (LPLAC).
 

II. PURPOSE

THE PURPOSE of LPLAC shall be to prepare a countywide political structure to enhance the election of Libertarian Party candidates and to supplement, support and co-ordinate the activities of the Los Angeles County Regions.
 

III. ORGANIZATION

THE LPLAC shall serve under the auspices of the Los Angeles County Regions of the Libertarian Party of California.  The County Chair, elected as prescribed by the By-laws of the LPC shall be the presiding officer.
 

IV. COMPOSITION OF THE LPLAC

THE OFFICERS of the LPLAC shall include the County Chair, as noted above, and other officers comprising individuals appointed by the County Chair to fill certain positions as specified herein, subject to certain restrictions and to ratification by a majority vote of the Los Angeles County Regional Chairs or their duly selected proxies.

IN ADDITION to the County Chair, the officers of the LPLAC shall include, but not be limited to:  Deputy Chair, Secretary/Clerk, Treasurer, Media Director, Public Relations Director, Program Director, Publicity Director, Publications Director, Newsletter Editor, and Fundraising Director.  Each of the aforementioned positions shall be restricted to dues-paying members in good standing of the Libertarian Party or one of its affiliates.

THE COUNTY Chair shall appoint, as necessary, assistants to each of the above officers, such assistants not subject to ratification by the Los Angeles County Regional Chairs, it being understood that the officer shall bear full responsibility for the performance of his office.

THERE SHALL be two Boards associated with the LPLAC:  The Board of Governors (BOG), and the Board of Advisors (BOA).  The BOG is comprised of the Chairs of the Los Angeles County Regions.  This body will be the final arbiter of any dispute involving the LPLAC, which concerns the County Chair or cannot be resolved by him.  The County Chair serves at the pleasure of the BOG and can be removed by a vote of two-thirds of the Board.  In the event of a deadlock in any vote of the BOG, the tie-breaking vote shall be cast by the State Chair of the LPC.

THE BOARD of Advisors is an honorary and advisory group comprised of venerable and celebrated adherents to the libertarian movement, whether Party members or not, to be selected by the BOG in consultation with the County Chair, the appointment of each advisor to be by simple majority of the BOG and subject to the appointee agreeing to have his or her name listed as such on official stationery of the LPLAC.

THERE SHALL be such committees as deemed necessary by the County Chair to effect the program of the LPLAC, and the Chair shall be authorized to appoint such committees.

THE SITTING Chair and Southern Vice-Chair of the LPC shall be members ex-officio of the LPLAC, holding no voting or veto power.
 

V. MEETINGS

THE LPLAC shall meet in toto no less than quarterly per year.
 

VI. DUTIES OF THE OFFICERS

THE COUNTY Chair shall: Act as the official representative of the LPC in Los Angeles County as specified in the By-laws of the LPC; Act as the Chief Executive Officer including as an official signatory of the LPLAC, responsible for implementing the program of the LPLAC; Perform other such duties as specified by the Board of Governors.

THE DEPUTY Chair shall:  Act as an assistant to the County Chair, and shall perform the duties of the County Chair in the Chair’s absence; Perform such other duties as specified by the County Chair.

THE SECRETARY/CLERK shall:  Act with the County Chair as an official signatory of the LPLAC and perform such other duties as specified by the County Chair.

THE TREASURER shall:  Act as the Chief Financial Officer of the LPLAC and perform such other duties as specified by the County Chair.

THE MEDIA Director shall: Act as the primary source of information to the press and other media and to the public at large and perform such other duties as specified by the County Chair.

THE PUBLIC Relations Director shall:  Act as the primary source of internal information to the LPLAC and among the Los Angeles County Regions and perform such other duties as specified by the County Chair.

THE PROGRAM Director shall:  Act as the primary promoter of all countywide LPLAC sponsored events and perform such other duties as specified by the County Chair.

THE PUBLICITY Director shall:  Act as the primary promoter of the LPC in Los Angeles County, utilizing all avenues of information as possible to the public-at-large and perform such other duties as specified by the County Chair.

THE PUBLICATIONS Director shall: Act as the Chief Editor of all literature promulgated by the LPLAC, except for the newsletter and strictly related writings, updating and approving the content and style of all official brochures and the like, maintaining adequate stocks of such for use by the constituents of the LPLAC and perform such other duties as specified by the County Chair.

THE NEWSLETTER Editor shall:  Act as Editor-in-Chief of the LOS ANGELES LIBERTARIAN, the official county newsletter of the LPLAC and for the Los Angeles County Regions, and perform such other duties as specified by the County Chair.

THE FUNDRAISING Director shall:  Act as the chief fundraiser and finance coordinator of the LPLAC and perform such other duties as specified by the County Chair.
 

VII. TERMS OF OFFICE

THE COUNTY Chair shall serve a TWO (2) year term elected as prescribed by the by-laws of the Libertarian Party of California.
 

VIII. RATIFICATION OF THIS CHARTER

THIS CHARTER shall be ratified by a vote of two-thirds of the Board members, i.e. the Chairs of the Los Angeles County Regions of the LPC, or their duly selected proxies. Modification of this charter shall be by a vote of two-thirds of the members, or by resolution of the LPC in Convention.
 

IX. QUESTIONING OF THE COUNTY CHAIR

IN THE extraordinary circumstance of a controversy involving the County Chair or which cannot be resolved by him or her, an Extraordinary Meeting of the Board of Governors may be called upon two-thirds of the BOG agreeing to meet in person to Question the County Chair.  Upon due notice to appear at a reasonable time and place to give testimony or assist in the resolution of the controversy, the County Chair shall attend such meeting.  Said meeting may result, if necessary, in the removal of the County Chair and the immediate appointment of a successor County Chair, and LPLAC officers.
 

X. FUNDING OF THE LPLAC

THE LPLAC shall be self-funding.  No involuntary contributions to the LPLAC from any of the constituent Los Angeles County Regions or from any other source are permitted.

THE LPLAC is not permitted to incur total indebtedness exceeding $2,000.00 without written approval by a majority of the BOG.
 

XI. RULES AND REGULATIONS

THE LPLAC shall operate under such rules and regulations as are deemed prudent and advisable by the County Chair.
 

XII. SEVERABILITY

INVALIDATION OF any section shall not necessarily cause the other sections of this Charter or the balance of the whole of the Charter to be rendered invalid.
 

XIII. NOTICE

THE TERM "notice" as used herein shall mean notification by Certified Return Mail.
 

XIV. OTHER POWERS AND DUTIES OF THE LPLAC

AT ALL times, it shall remain the purpose of the LPLAC to serve the needs of the constituent Los Angeles County Regions of the LPC and will not at any time exceed the bounds of authority required to accomplish its program; i.e., no Region organization will be compelled to adhere to any order or circumstance created by the LPLAC, it being understood that the LPLAC is the creature of the Los Angeles County Regions and that the sovereignty of each and all said Regions will at all times be respected.  All work accomplished by and through the LPLAC shall be by mutual consent of all parties.
 

XV. CAMPAIGNS

THE LPLAC shall assist as necessary any proper political action committee constituted for the purpose of assisting candidates for office running on the Libertarian Party ticket, and who are members of the Party in good standing.
 

XVI. AWARDS

THE LPLAC shall establish certain awards for presentation to deserving persons in the categories of Activist of the Year and Candidate of the Year in addition to duties incumbent on the LPLAC in regard to the Champion of Freedom Award. The LPLAC shall nominate persons for the award of Champion of Freedom, Activist of the Year andCandidate of the Year the recipient s to be selected by the BOG.
